Welcome to TutorPa! Before collaboration, it's essential to acquaint yourself with the Terms and Conditions we operate under. This Agreement outlines the terms and conditions for the collaboration between Party A: TutorPa (referred to as "we," "us," or "our") and Party B: Collaborator (referred to as "you," "he," "she," "they," or "their") for the digital education program collaboration. A client refers to any student, parent, or individual/viewer who is introduced to a collaborator by the Company. By entering this Agreement, both parties agree to work together in a collaborative and professional manner to achieve the objectives of the digital education program.
TutorPa offers home/online tutoring services and digital education programs. These services are accessible through www.tutorpa.com or social media (YouTube: @tutorpa, Facebook, LinkedIn, etc.). If you come across any inaccuracies or have queries, feel free to get in touch. We value open communication and are ready to assist you.
Purpose
Digital education is increasingly popular due to its adaptability to various learning styles and the ability to offer specialized instruction across a broad range of educational programs. The purpose of this collaboration is to create, manage, and promote a series of digital educational recorded/live video content, such as sessions on various types of education, information, awareness, academic subjects, IT, and tech courses, solely for educational purposes, with no other promotions allowed. These recorded/live sessions will allow students/viewers to access content at their own pace, making it easier to learn and study.
This Agreement sets the terms for operating TutorPa’s digital education program, including collaborators working together to create these recorded/live videos, which will be uploaded to their unique playlists on TutorPa's YouTube Channel, showcased on their profiles on the website (www.tutorpa.com), and shared on TutorPa's other social media platforms, available to subscribers.
Acceptance of Terms and Conditions
By registering as a collaborator through our Collaborator Registration Form ("Collaborate with Us as Digital Education"), you acknowledge and consent to these Terms. Your acceptance becomes effective once you complete the registration on our platform, confirming your commitment to adhere to the specified terms.
Registration
Registering as a collaborator requires that you are at least 18 years old. If you are under 18, obtaining consent from a parent or legal guardian is necessary.
To register for the services offered on TutorPa, you will need to provide specific details such as your name, postal address, email address, mobile/WhatsApp phone number, gender, and other relevant information.
TutorPa retains the right to decline or reject any registrations.
The information you provide should be as accurate as possible, and it is essential to refrain from furnishing false or inaccurate data that may mislead customers and TutorPa organizers.
Registered collaborators validate the legitimacy of their digital education/tutoring services through our verification process, confirming the authenticity and ensuring that all details provided in their registration form are correct and truthful.
TutorPa reserves the right to deny the approval of any collaborators and to revoke the verification of previously verified collaborators, based on the discretion of TutorPa facilitators.
Registered collaborator are equipped with a unique "Referral Code" sent via email, allowing to share it with your friends and family through WhatsApp, Facebook, SMS, and Email. Upon successful enrollment of a new student referred by the collaborator, a 5% Cash Bonus is credited to the Referral collaborator's account, based on the fee submitted for the subject or course by the newly registered student. Additionally, the newly registered student (Referred Student) also receives a 5% discount at the time of payment. Violation of the agreement or failure to meet our conditions will be handled with utmost severity. We reserve the right to enforce our authority through the imposition of penalties or the cancellation of your registration.
Roles and Responsibilities
• Content Creation: Each collaborator will be responsible for creating content for TutorPa's digital education program, as clearly outlined in the program's purpose. The specific content responsibilities are as follows: You will oversee the creation, copyright, and management of content, ensuring it aligns with our overall strategy and meets audience expectations. More than one person can work on the same content or sub-program with mutual understanding, maintaining consistency throughout. The choice to create digital content with your own video and voice is yours.
• Management: TutorPa will manage the digital education program, overseeing all aspects including marketing, uploading content, optimizing for search, developing strategies to engage the target audience, and maintaining the overall quality of the content.
• Promotion: Both parties agree to promote the program and its content through their respective social media platforms and networks to maximize reach and engagement. As you create content for the program, you have the opportunity to promote your name as a team member of TutorPa. Your content will reflect your credibility and expertise.
• Works As Tutor: If a collaborator works as a tutor for online or home tutoring, the Tutor Terms apply to them.
Ownership and Rights
• Intellectual Property: All content created under this collaboration remains the intellectual property of TutorPa. However, both parties grant each other a non-exclusive, royalty-free license to use, reproduce, and publish the content within TutorPa’s Digital Education Program. Published video content will be deleted based on the principle of necessity, with mutual understanding and consensus.
Decision Making
All major decisions related to the Digital Education Program, including content direction, branding, and partnerships, must be mutually agreed upon by both the Collaborator and TutorPa. Regular meetings or communications should be held to ensure alignment and address any issues.
Revenue Sharing
Any revenue generated by the Collaborator individually from TutorPa’s Digital Education Program (e.g., through ad revenue, sponsorships, or other monetization methods) will be distributed according to the agreement made in our meeting and outlined in the collaboration form, "Collaborate with Us," for the digital education program you have completed.
Payments
The TutorPa is the sole entity authorized to collect all revenue from all resources. This unified approach ensures a straightforward and organized revenue collection process.
The payment to the collaborator will be based on the revenue distribution agreed upon in our meeting and outlined in the collaboration form, "Collaborate with Us," for the digital education program that you have completed.
Regarding the remuneration for video content in the Digital Education Program that achieves significant views, you will be compensated according to a performance-based model, determined by the analytics of each video. TutorPa is committed to handling this fairly.
Payment Method: Payments will be made using the Collaborator's bank account under their registered name.
Whether you are a part of TutorPa or if you terminate the collaboration, any payment generated from the digital education program related to your efforts or referrals will always be shared with you. We are committed to providing you with your revenue whenever we receive it from your referenced content.
The collaborator is prohibited from disclosing their payment or revenue sharing information to clients or any other parties.
In the unfortunate event of the company facing insolvency due to adverse circumstances or disasters, the company shall not be held liable for the remaining sums. It shall be considered a contribution to the company's well-being. However, when the company is in good standing, it is obligated to return all remaining sums.
DoneDispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the issue through mutual discussion. If a resolution cannot be reached, the matter may be escalated to mediation or arbitration, as mutually agreed upon.
Termination
Termination of collaboration with TutorPa may occur in cases of immoral conduct, misbehavior, incompetence, neglect of duty, substantial non-compliance with TutorPa's terms, criminal convictions, insubordination, or fraud and misrepresentation. TutorPa retains the authority to enforce such decisions.
Adherence to all terms and conditions outlined by TutorPa is mandatory for the collaborator. Failure to comply with any of these conditions may result in the termination.
TutorPa has the authority to promptly terminate this agreement if the collaborator breaches or fails to perform any provisions stipulated in this agreement.
The termination of collaborator by the company is within its discretion in scenarios where he/she disreputes the company, becomes insolvent, engages in a material breach of this agreement, the client expresses material dissatisfaction with the services provided, or if he/she fails to fully declare or falsifies details such as duty, as proven by the company's investigation.
In the event of termination, the collaborator is prohibited from continuing to provide services.
If you decide to terminate your agreement with TutorPa, a written notice via your registered email is required, especially if you are currently assigned to any tasks.
This agreement may be terminated by the company with a 2 weeks' notice, during which the collaborator is required to remit any outstanding sums to the Company.
Upon termination, both parties retain ownership of their respective content as outlined in the "Ownership and Rights" clause. Payment will be handled according to the "Payment" clause. Any division of shared assets will be managed based on the principle of necessity and according to mutual agreement.
Obligations on Termination of this agreement
Following the termination of the collaborator's engagement for whatever reason, the collaborator shall:
Give back to the company all correspondence, documents, papers, and any other property of the Company within the collaborator's possession or control. The collaborator shall not retain any copies without obtaining the written consent of the company. If so requested, provide the company's HR manager with a signed statement confirming adherence to this requirement.
Confidentiality and Restrictions
Maintaining absolute confidentiality, the collaborator is bound to refrain from using or attempting to use any confidential information in a manner that may directly or indirectly cause injury or loss to the company or its clients;
Both parties agree to keep any confidential information shared during this collaboration private and will not disclose it to any third parties without prior consent.
The collaborator is committed to refraining from any actions that may harm the goodwill of the Company.
The Collaborator agrees to keep confidential any ideas or concepts related to the Digital Education Program that are developed or discussed during the discussions and meetings.
Privacy Commitment
Data Security Assurance: The security of member information is our top priority. At TutorPa, stringent measures are in place to safeguard all user data. It's important to note that TutorPa does not retain any data related to bank cards, ensuring an additional layer of financial security for our members.
collaborators' contact information is never sent to client except in the case where the collaborator accepts a tutoring request, thus indicating that they wish to send their contact information to the client to organize the first class.

Changes or Amendments
We reserve the right to make changes or modifications to the terms as required at any time. Notice of any major changes will be provided to the collaborators via their provided email. We encourage you to regularly review this page to stay informed about any alterations or updates to our privacy policy or terms and conditions.
Entire Agreement and Variation
This agreement contains the entire and only agreement between the parties, and both parties acknowledge that, on entering into this agreement, they have not relied on any other written or oral representation or undertaking other than as expressly stated in this agreement, and that this agreement supersedes any previous agreement or arrangement between the parties.

All notices under this agreement must be in written form, signed by or on behalf of the party issuing it, and can be delivered personally or sent via the 'Email' of the respective party.
